Terms of Service
Last updated: September 2026
Please read these Terms of Service ("Terms") carefully. They govern your access to the Premia website and your purchase and use of any Premia services. By using this website, booking a consultation, or purchasing a service, you agree to these Terms. If you do not agree, do not use the site or purchase services.
1. Who We Are
These Terms are an agreement between you ("you," "your," or "Client") and Premia LLC, a New Jersey limited liability company ("Premia," "we," "us," or "our").
Contact: matt@findpremia.com
Confirm before publishing. Do not post this page until the Certificate of Formation is approved and the exact registered name is confirmed. If the name "Premia LLC" is unavailable in New Jersey and you file under a variant, that variant is what belongs here, on the Stripe account, and on the bank account.
2. Eligibility
Premia serves clients in the United States only. By using this site or purchasing services, you represent that you are at least 18 years old, are located in the United States, and, where you are contracting on behalf of a business, that you have authority to bind that business to these Terms.
We do not provide services to clients outside the United States and do not direct our marketing to any other jurisdiction.
3. Description of Services
Premia provides credit card strategy and rewards optimization consulting for business owners and individuals. Depending on the engagement you purchase, services may include:
- Rewards audit and written analysis. Review of your current card setup and spending patterns, identification of value you are not currently capturing, and a written strategy document with recommended card structures and projected value.
- Application and setup guidance. Instruction on which products to pursue, in what sequence, and what to expect during the application process. We advise. You apply.
- Ongoing advisory. For subscription clients, periodic reviews, redemption planning, monitoring of offers and program changes relevant to your setup, and adjustments as your spending profile changes.
- Adjacent consulting. General guidance on best practices and considerations relating to business bank accounts, savings vehicles, and cash management as they interact with your rewards strategy.
The specific scope of your engagement is what we agree to in writing before you pay. Nothing on the website is itself an offer of a particular scope, price, or result.
4. What Premia Does Not Do
These limits are absolute and apply to every engagement.
- We do not apply for credit cards or financial products on your behalf. Every application is submitted by you, in your name, from your own device, after your own review of the issuer's terms.
- We never take custody or control of your accounts. We do not accept, store, or use your account credentials, passwords, one-time codes, card numbers, or banking login information. Do not send them to us. If you send them anyway, we will delete them and ask you to reset the credential.
- We do not hold, move, invest, or manage your money or assets. At no point does Premia take possession of client funds.
- We do not open, close, or modify any account in your name.
- We are not an agent of, and do not speak for, any card issuer, bank, or financial institution.
5. Not Financial, Investment, Legal, Tax, or Accounting Advice
Premia provides informational and educational consulting only.
Premia is not a registered investment adviser, broker-dealer, bank, insurance producer, certified public accountant, attorney, or licensed financial planner. Nothing we provide is investment advice, a recommendation to buy or sell any security, legal advice, tax advice, or accounting advice, and nothing we provide should be relied on as such.
This applies specifically to any discussion of savings accounts, money market funds, deposit products, brokerage relationships, banking relationships, or cash management. Where we describe how such a product or program tier works, we are describing a mechanism, not recommending a security or an allocation of your assets. You are solely responsible for evaluating any such decision with your own licensed advisor, accountant, or attorney.
Every decision to apply for a product, move a banking relationship, change a spending pattern, or redeem rewards is yours alone.
6. No Guarantee of Approval, Offer, or Outcome
Credit card and financial product terms change frequently and without notice. Welcome offers are promotional, are set by the issuer, rotate, and can be withdrawn at any time. Approval decisions belong entirely to the issuer and depend on factors outside our knowledge and control, including your credit profile, application history, and the issuer's internal rules.
Accordingly:
- We do not guarantee that you will be approved for any product.
- We do not guarantee that any welcome offer, multiplier, statement credit, transfer ratio, or benefit described in our analysis will still be available when you apply.
- Projected reward values are estimates based on the information you provide and on program terms in effect as of the date of the analysis. Actual value depends on how and when you redeem, on your real spending, and on program changes we do not control.
- Any figure presented as a projection, model, estimate, or range is exactly that and is not a promise of a result.
We will make reasonable efforts to verify live terms at the time a recommendation is delivered and to flag known upcoming changes. You are responsible for confirming current terms on the issuer's own site before you apply.
7. Compensation and Conflicts of Interest
Premia is compensated solely by its clients. We accept no commissions, affiliate payments, referral bounties, finder's fees, or any other compensation from credit card issuers, banks, or financial institutions in connection with the products we recommend.
If this ever changes, we will disclose the specific compensation arrangement in writing before making any recommendation affected by it, and we will update these Terms.
Premia may pay or receive referral compensation in connection with client introductions from professional partners such as accountants, bookkeepers, or fractional CFOs. Any such arrangement relates to how a client was introduced to Premia and never to which product we recommend to that client. If a partner referred you and a compensation arrangement exists, we will disclose it to you on request.
8. Client Responsibilities
To get value from the engagement, and for these Terms to work as intended, you agree that:
- Information you give us about your spending, accounts, business, and preferences is accurate and complete to the best of your knowledge. Our analysis is only as good as its inputs.
- You will independently review the issuer's terms before applying for any product.
- You will pay your card balances in full and on time. Every value projection we produce assumes no interest charges. Carried balances erase rewards value quickly and we do not model for them.
- You are responsible for your own credit profile and for any effect an application has on it.
- You will not send us credentials, full account numbers, or other sensitive access information.
Providing spending summaries, a list of your financial tools, and your preferences is optional. Withholding it is fine, and it will make the analysis less precise.
9. Fees and Payment
Payment is due in advance. Fees are quoted to you directly and are payable through Stripe via a payment link we provide. We do not collect or store your card or bank details ourselves. Payment processing is handled by Stripe and is subject to Stripe's own terms and privacy policy.
- One-time engagements. The full fee is due before work begins unless we agree otherwise in writing.
- Advisory subscriptions. Billed annually in advance. We very rarely accept alternative arrangements, and any such arrangement must be agreed in writing before payment.
- Fees are quoted in US dollars.
- You are responsible for any taxes applicable to your purchase other than taxes on our income.
- If a payment fails or is reversed, we may suspend services until it is resolved.
Refunds. Because our work product is delivered as a completed analysis, fees are non-refundable once the written deliverable has been delivered, except as required by law or as provided under the Results Commitment in Section 10. If you cancel a one-time engagement before the deliverable is delivered, we will refund the fee less a reasonable amount for work already performed. Subscription fees are addressed in Section 11.
Placeholder to resolve. Decide whether you want a stated late fee and a stated pre-delivery cancellation percentage rather than "a reasonable amount." A number is easier to enforce than a standard.
10. Results Commitment
Where Premia has made a specific written commitment to you regarding the value of an engagement, that commitment is governed by this section and by the written terms of the commitment itself. Marketing statements are general descriptions of typical outcomes and are not themselves a contractual guarantee. Any commitment that applies to your engagement will be stated in writing to you before you pay.
Where a value commitment applies, unless we agree otherwise in writing:
- What counts. Value means the incremental rewards value your recommended structure is projected to produce over your baseline setup, measured over the twelve months following implementation, valued using the methodology stated in your written analysis.
- Baseline. Your baseline is the earning rate of your existing card setup applied to the same spending profile.
- Conditions. The commitment applies only if you implement the recommended structure substantially as delivered, meet any stated spend requirements, and pay balances in full throughout the period. It does not apply where an issuer denies an application, where an offer is withdrawn before you apply, where your actual spending differs materially from the profile you provided, or where you decline to implement.
- Remedy. If the commitment is not met, your sole and exclusive remedy is [a refund of fees paid for that engagement / a credit against future services / continued advisory at no charge until the threshold is met].
- How it is measured. You agree to provide reasonable documentation of actual spend and rewards earned if you make a claim under this section.
Placeholder to resolve, and the most important one in this document. Pick the remedy and commit to it. An undefined guarantee gets defined by whoever is unhappy. Also decide whether the "3x fee-based ROI" language stays in marketing materials at all now that it has a contractual definition attached to it here, because those two need to say the same thing.
11. Subscription Term, Renewal, and Cancellation
Advisory subscriptions run for a twelve month term beginning on the date of payment.
- Renewal. Subscriptions [renew automatically for successive twelve month terms unless cancelled / do not renew automatically and require a new agreement]. Where renewal is automatic, we will send a renewal reminder to your email on file at least thirty days before the renewal date, and you may cancel at any time before the renewal charge.
- Cancellation. Either party may cancel with thirty days' written notice to the other. Notice to us goes to matt@findpremia.com.
- Effect of cancellation. Cancellation stops future billing. Fees already paid for the current term are non-refundable, and services continue through the end of the paid term unless we agree otherwise. If we cancel without cause mid-term, we will refund the unused portion on a pro-rata basis.
- Suspension. We may suspend or terminate services immediately for non-payment, for a breach of these Terms, or where continuing would require us to act outside the limits in Section 4.
Placeholder to resolve. Auto-renewal carries real disclosure and cancellation obligations under federal and several state laws, including a requirement that cancellation be at least as easy as signup. If you want auto-renewal, say so and I will tighten this section. If you do not, the non-renewing version is materially simpler to comply with.
12. Confidentiality
We treat the business and financial information you share with us as confidential. We will not disclose it to any third party except: to service providers who help us deliver the engagement and who are bound to protect it, where you direct us to, or where we are required to by law.
This obligation does not apply to information that is publicly available, that we already had, or that we receive independently from a source not bound by a confidentiality obligation.
You agree to treat our written analyses, models, frameworks, and pricing as confidential and not to distribute them outside your business.
13. Anonymous Use of Results
You agree that Premia may reference the results of your engagement in anonymized, aggregated, or de-identified form in marketing materials, case studies, and client conversations. This includes figures such as value added, spend category patterns, industry, and general business size.
We will not use your name, your business name, your logo, or any detail that would reasonably identify you without your separate written permission. If you would prefer we not reference your engagement even anonymously, email us and we will honor that.
14. Intellectual Property
- Our materials. The Premia name, website, written analyses, templates, comparison matrices, models, and methodologies are our property and are protected by intellectual property law. Nothing in these Terms transfers ownership of them to you.
- Your license. On full payment, you receive a perpetual, non-exclusive, non-transferable license to use the deliverables we produce for you for your own internal business and personal purposes. You may share them with your own employees, bookkeeper, accountant, or advisors. You may not resell them, publish them, or use them to provide similar services to others.
- Your information. You keep ownership of everything you provide to us. You grant us the limited right to use it to perform the engagement.
15. Third-Party Products and Services
Our recommendations concern products offered by third parties. We have no control over those products, their terms, their availability, their approval decisions, or their customer service. Your relationship with any issuer or institution is directly between you and that institution and is governed by its agreements, not ours.
Our website and communications may link to third-party sites. We do not control and are not responsible for their content, terms, or privacy practices.
16. Scheduling and Communications
Consultation scheduling is handled through a third-party scheduling tool. By booking, you agree to that provider's terms and privacy policy.
By purchasing services or providing your email address, you agree to receive communications from us related to your engagement. You may opt out of marketing messages at any time. Service-related messages about an active engagement are not optional while the engagement is live.
17. Disclaimer of Warranties
The website and all services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the website will be uninterrupted or error-free, or that any information on it is complete or current.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
18. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost rewards or points, lost business opportunity, or loss of data, even if we were advised such damages were possible.
- Our total aggregate liability arising out of or relating to these Terms or any engagement, whatever the theory of liability, will not exceed the total fees you actually paid to Premia in the twelve months preceding the event giving rise to the claim.
- We are not liable for any issuer's decision, any change to a rewards program, the devaluation of any points currency, the withdrawal of any offer, any effect on your credit profile, or any tax consequence of any decision you make.
These limits are a fundamental part of the agreement between us and reflect the fees charged. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
19. Indemnification
You agree to indemnify and hold harmless Premia LLC and its members, managers, employees, and contractors from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the website, your breach of these Terms, inaccurate information you provided to us, or your decisions regarding any financial product.
20. Dispute Resolution and Governing Law
- Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules.
- Informal resolution first. Before starting any formal proceeding, you agree to contact us at matt@findpremia.com and give us thirty days to resolve the dispute directly. Most disagreements end here.
- Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or any engagement will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in [County] County, New Jersey. Judgment on the award may be entered in any court of competent jurisdiction.
- Small claims carve-out. Either party may bring an individual claim in small claims court instead, if it qualifies.
- No class actions. Disputes will be resolved individually. You and Premia each waive any right to bring or participate in a class, collective, or representative action.
- Time limit. Any claim must be brought within one year after the claim arises, or it is permanently barred.
Placeholder to resolve. Fill in the county, likely Monmouth. Also confirm you want arbitration at all. Arbitration keeps disputes private and usually cheaper, but AAA commercial filing fees are not trivial for a claim the size of your fees. The alternative is exclusive jurisdiction in New Jersey state courts, which I can swap in.
21. Changes to These Terms
We may update these Terms. The "Last updated" date at the top will change. Material changes affecting an active engagement will be communicated to you by email. Your continued use of the website or services after an update means you accept the revised Terms. The version in effect when you purchased governs that engagement.
22. General
- Entire agreement. These Terms, together with any written engagement agreement or proposal we sign with you, are the complete agreement between us and replace any prior discussions. Where a signed engagement agreement conflicts with these Terms, the engagement agreement controls for that engagement.
- Independent contractor. Premia is an independent contractor. Nothing here creates a partnership, joint venture, employment, agency, or fiduciary relationship between us.
- No fiduciary duty. Premia does not act as your fiduciary. Our role is advisory and informational.
- Severability. If any provision is found unenforceable, the rest stays in effect and the unenforceable provision is modified to the minimum extent needed to make it enforceable.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a sale or reorganization of the business.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Survival. Sections 4, 5, 6, 12, 13, 14, 17, 18, 19, and 20 survive termination.
